1. Introduction
Welcome to Ezycreate, a Software-as-a-Service platform provided by EZYFAB LLC. Ezycreate offers online designer subscription tools and online stores for personalized products to B2B clients, including web store management, product configurators, customer relationship management, and related services.
By accessing www.ezycreate.com or using our services, whether or not you have registered as a member, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services or access the website.
These Terms may be modified from time to time. Modifications are effective when posted on the Ezycreate website.
2. Accounts, Eligibility, and Conduct
You represent that you are of legal age in your jurisdiction and have the right, authority, and capacity to enter into these Terms.
You agree to provide true, accurate, current, and complete information when creating or maintaining an account and to keep your account credentials confidential.
You may not use the services for unlawful purposes, upload illegal or infringing content, disrupt the platform, violate privacy or intellectual property rights, impersonate others, transmit spam, or engage in activity that could damage or impair the services.
We may review, edit, delete, restrict, suspend, or terminate content or accounts that violate these Terms or are otherwise objectionable in our sole judgment.
3. Subscriptions, Payments, Refunds, and Taxes
Access to certain services may require a subscription. Subscription-specific terms, billing period, fees, transactional fees, and plan conditions will be communicated before or during subscription.
Fees are payable in advance and may be billed monthly, annually, or as otherwise stated. Payments are processed by third-party providers such as Stripe, and you authorize applicable charges to your selected payment method.
Unless cancelled before your billing renewal date, your subscription automatically renews for an identical subsequent term (monthly or annually). You authorize us, through our payment processor Stripe, to automatically charge the then-current subscription fee to your payment method on file. Upgrades may take effect immediately; downgrades may take effect from the next term.
Failed subscription payments: if a recurring payment authorization fails, we may grant a courtesy grace period (typically three to seven days) to update your payment details. After that period, access to the EzyCreate cloud engine and API may be suspended, pausing product generation and customization features on your connected store, until billing is resolved.
Refunds are issued only where applicable and at our sole discretion. Subscriptions are non-refundable for partial billing periods. You are responsible for applicable taxes, duties, VAT, GST, sales taxes, or similar charges unless we inform you otherwise.
4. User Content and Intellectual Property
You retain ownership of images, templates, designs, text, data, and other materials you upload or process through the services. By uploading user content, you grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, modify, adapt, publish, translate, distribute, and display that content as necessary to provide the services and fulfill orders.
You represent that you have the legal right to use, upload, and distribute your user content and that it does not violate third-party copyright, trademark, publicity, privacy, or other rights.
All Ezycreate content, templates, configurations, software, designs, and other materials, excluding user content, are owned by us or our licensors and are protected by intellectual property laws. Unauthorized reproduction, resale, modification, distribution, or derivative works are prohibited.
AI-generated content offered through the platform remains subject to our licensing terms and may not be resold or distributed separately unless explicitly permitted by us.
5. Service Availability, Beta Features, and Third Parties
We strive to maintain service availability but do not guarantee uninterrupted access. Services may be unavailable due to maintenance, upgrades, system failures, or other reasons.
The services are provided as is and as available. To the maximum extent permitted by law, we disclaim warranties including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.
Beta features are provided for testing and feedback purposes, may not be fully functional or stable, and may be changed or discontinued at any time. Your use of beta features is at your own risk.
We may use third-party tools and providers, including payment processors, analytics platforms, cloud hosting providers, printers, and distributors. We are not responsible for the performance, terms, or privacy practices of those third parties.
WordPress and WooCommerce environment disclaimer: because the services integrate with your independent, self-hosted User Environment, we cannot guarantee compatibility with all configurations and are not responsible or liable for service disruptions, visual errors, breaks in print-on-demand pipelines, or loss of revenue caused by: conflicts with third-party WordPress themes, page builders, or plugins; outdated server-side infrastructure such as old PHP versions or low memory limits; core WordPress or WooCommerce updates that break established API endpoints before a patch is deployed; or server downtime, hosting crashes, or security breaches affecting your independent WordPress site.
6. Limitation of Liability and Indemnity
To the maximum extent permitted by applicable law, EZYFAB LLC and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, punitive, or similar damages arising from your use of or inability to use the services.
Our aggregate liability for claims arising out of or relating to the services will not exceed the amount paid by you to us in the twelve months immediately preceding the event giving rise to the liability.
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, agents, suppliers, and licensors from third-party claims and expenses arising from your use of the services, your violation of these Terms, your user content, your infringement of third-party rights, misrepresentation, or violation of law.
7. Assignment, Termination, Privacy, and Governing Law
We may subcontract parts of our rights or obligations, including fulfillment by printers and distributors. We may assign our rights and obligations to an affiliate or third party without your consent. You may not assign your rights or obligations without our prior written consent.
Either party may terminate these Terms and close customer accounts with written notice, but termination will not occur before all valid subscriptions have expired. Outstanding payment obligations and provisions concerning intellectual property, user content, indemnity, limitation of liability, and governing law survive termination.
Our Privacy Policy is incorporated into these Terms by reference. By accepting these Terms, you acknowledge our Privacy Policy.
These Terms are governed by the laws of Japan. You consent to the exclusive jurisdiction and venue of the courts in Japan for disputes arising out of or relating to the services or these Terms.

8. Self-Hosted WordPress and WooCommerce Environment
“User Environment” means a client’s self-hosted WordPress core software, WooCommerce plugin installations, web hosting servers, PHP configurations, and any third-party plugins or themes used alongside the EzyCreate services.
You are responsible for maintaining your User Environment, including compatible WordPress and WooCommerce versions, server resources, security, and backups. EzyCreate provides the cloud design engine, plugin, and APIs that connect to your User Environment but does not operate or control it.
9. Customer Assets and Data Processing
For end-consumer assets uploaded through your store, such as customer photos and design files, EzyCreate acts as a data processor on your behalf and you act as the data controller. You are responsible for ensuring that uploads are lawful and that you hold the necessary rights and consents.
Raw, cloud-cached upload assets are retained for a limited period, typically up to thirty days, after which they may be deleted from working storage. Production and order records may be retained longer where required to fulfill orders or meet legal obligations.
You are responsible for end-consumer uploads made through your store and agree to hold us harmless from claims arising out of illegal, infringing, or copyrighted material uploaded by your customers.
Our Data Processing Agreement is incorporated into these Terms by reference and is deemed executed when you start a subscription or otherwise accept these Terms.
